Terms of service.

These Terms of Service govern your access to Vigil, including our website, workspaces, AI agents, content tools and connected services. Vigil is operated by Zentira (“Zentira”, “we”, “us”). “You” means the person using Vigil and, where relevant, the organization they represent.

By creating an account or using Vigil, you agree to these terms. If you use Vigil for an organization, you confirm that you have authority to accept them for that organization. You must be at least 18 and legally able to enter into this agreement. If you do not agree, do not use the service.

Vigil is an AI-assisted growth workspace for planning, generating and organizing marketing content, managing connected channels, reviewing performance and coordinating marketing work. A Head of Growth agent coordinates seven specialists. The features available to you depend on your plan, connected accounts and the permissions you grant.

An AI agent is software, not an employee, professional adviser or authorized representative of your business. Suggestions, forecasts and drafts are informational. We do not guarantee audience growth, revenue, advertising returns, search ranking or any other business result.

Provide accurate account and billing information, keep your login credentials secure, and notify us promptly if you suspect unauthorized access. You are responsible for activity performed through your account and for the permissions you give workspace members.

Workspace owners and administrators control access to shared brand information, assets, conversations and workflows. Only connect accounts and upload information you are authorized to use. Remove access when a teammate or contractor no longer needs it. You may not sell accounts, misrepresent your identity or bypass account restrictions.

Vigil may prepare drafts, recommendations, reports and proposed actions. Publishing content, replying to contacts, running outreach or changing an advertising campaign may require your approval and the relevant third-party permissions. Where you enable automation, you authorize actions within the settings and limits you choose.

You remain responsible for reviewing factual claims, audiences, recipients, spending limits and campaign settings. Check an action’s status rather than assuming a request succeeded. You can pause or revoke an integration, but an action already completed on another platform may require correction on that platform. Disconnecting Vigil does not automatically cancel advertising campaigns or other external services.

You retain your rights in the brand materials, files, prompts, contacts and other content you provide. You grant Zentira a limited license to host, process, transmit and display that content as needed to provide, secure and support Vigil, including carrying out your instructions through service providers.

As between you and Zentira, you may use generated output to the extent permitted by applicable law and the terms of any underlying model or platform. AI output may not be unique, protectable by copyright or free of third-party rights. Review it before use. You must have the rights and permissions needed for source materials, trademarks, likenesses, music and other assets used in your work.

AI can produce inaccurate, incomplete, biased or unsuitable content, including invented claims and references. Generated images, audio and video can contain artifacts or misrepresent people and events. You are responsible for checking output, obtaining required consent, and applying disclosures or labels required by law or the destination platform.

Do not rely on Vigil for legal, medical, financial or other regulated professional advice. Do not use it to impersonate someone deceptively, create non-consensual intimate content, exploit children, facilitate fraud or violate another person’s privacy or intellectual property.

The applicable checkout displays your price, currency, billing period, taxes and included allowances. Paid subscriptions renew automatically for the selected billing period until cancelled. Annual subscriptions are billed for the annual term, even when a monthly equivalent is shown for comparison.

For purchases processed by Paddle, Paddle is the merchant of record and handles payment collection, applicable transaction taxes, receipts and payment-related support. Paddle’s buyer terms also apply to that transaction. We do not receive your complete card details from Paddle.

Plan limits and usage allowances are described in your plan and may apply to workspaces, seats, agent actions, storage and media generation. Additional purchases require a separate checkout or disclosed authorization. Advertising spend and charges from other connected services are separate from your Vigil subscription. We will communicate material price changes before they apply to a future renewal, subject to applicable law.

You can cancel future subscription renewals through the billing controls made available to you or the Paddle customer portal linked from your receipt. Cancellation generally takes effect at the end of your paid billing period. Deleting an app or disconnecting a social account does not cancel your subscription.

Our Refunds & Cancellation Policy explains the initial-purchase refund window, renewal payments, separately purchased media credits and how to request assistance. Refunds and cancellation do not remove any mandatory consumer rights. Credits are usage allowances, not cash, stored value or transferable currency.

Third-party social networks, advertising platforms, AI providers and other services apply their own terms, quotas, policies and review processes. You are responsible for complying with them. Some features require an eligible account, a paid third-party plan or platform approval.

Third parties may change or withdraw APIs, permissions or models, delay requests, reject content, restrict an account or experience outages. We may adapt or discontinue affected functionality. We do not promise that every model, platform or capability will remain available. We will use reasonable efforts to keep the service working and communicate material changes.

Use Vigil lawfully and respect the rights of others. In particular, you must not:

• Send unlawful spam, use contact information without a lawful basis, or ignore applicable consent and opt-out requirements.
• Upload malware, attempt unauthorized access, disrupt the service, evade usage limits or extract another workspace’s data.
• Create deceptive reviews, fraudulent advertising, unlawful discrimination, harassment or content that exploits or endangers others.
• Resell access to Vigil or copy our software and brand assets without permission.

We may investigate misuse and restrict activity where reasonably necessary to protect users, comply with law or prevent harm.

Our Privacy Policy explains how we collect and use personal information. When you bring customer or audience information into Vigil, you are responsible for providing required notices and establishing a lawful basis for that processing.

Do not upload passwords, payment card details or sensitive personal information that is unnecessary for the task. Keep copies of important source materials and outputs. Shared links and connected-platform publications can make information accessible outside your workspace, so review what you share.

You may stop using Vigil and cancel your subscription at any time. We may restrict or suspend access for non-payment, a material breach of these terms, suspected abuse, a security issue or a legal requirement. Where practical and appropriate, we will give notice and an opportunity to resolve the issue.

On termination, your right to use paid features ends according to your subscription status and applicable law. External publications and third-party campaigns may remain active until you remove or stop them on the relevant platform. Contact support about account data and deletion; some records may need to be retained for billing, security or legal obligations.

We will provide Vigil with reasonable care and skill. Subject to rights that cannot lawfully be excluded, the service and generated output are provided on an “as available” basis. We do not promise uninterrupted operation, error-free output or suitability for every business purpose.

To the extent permitted by law, Zentira is not liable for indirect or consequential losses, lost profits or opportunities, or losses arising from third-party platform decisions. Our total liability arising from the service is limited to the amount you paid Zentira for Vigil in the 12 months before the event giving rise to the claim. These limitations do not exclude liability for fraud or any liability or consumer right that applicable law does not allow us to limit.

We may update these terms as the service evolves. We will identify the latest revision date and give reasonable notice of material changes where required. Changes will not retroactively remove rights attached to a completed purchase. If you disagree with an update, you may stop using the service and cancel future renewals.
